1. 1. 1. Acceptance of the Terms of Use
      We, Coronis Health I, LLC, and all subsidiaries and affiliates (collectively, “Coronis”, “we”, “us”, “Company”) operate mobile applications, website platforms, and other services and software that provide health care solutions on behalf of healthcare providers (our “Services”). All references Terms of Use as part of any Services will apply to user’s use of the Services.  
      The below serves as a legal agreement between you, the user, and Coronis.  
      THIS AGREEMENT CONTAINS PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO RESOLVE ANY DISPUTE WITH US THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, AND NOT AS PART OF ANY CLASS, REPRESENTATIVE ACTION, LAWSUIT OR RESORT TO COURT PROCESS. iv 
      YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY OR ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER THE COMPANY OR SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.  
      Please carefully review these Terms of Use prior to use of Services. By accessing or using our Services, you acknowledge that you have read, understood, accept and agree:  
      – To enter into a legally binding agreement with Coronis;  
      – To be bound by and fully comply with these Terms of Use; and  
      – Accept you are at least the legal age of majority in your place of residence and otherwise legally competent to enter into legally binding contracts. If under the legal age of majority in your jurisdiction or otherwise not legally competent to enter into legally binding contracts, your parent or legal guardian must agree to these Terms of Use on your behalf prior to your use of the Services.  
    2. Changes to Terms of Use
      Coronis may modify these Terms of Use at our sole discretion and without notice at any time. Any such revisions, modification, or amendment shall be effective immediately upon posting.  Your continued usage of Services is deemed to be acceptance of revised Terms of Use. Any material presented on coronishealth.com may be out of date, and Coronis is under no obligation to update such material.  
  1. 1. Conflicting Terms of Use
      Additional specific terms or conditions may apply to particular Services offered such as any other software services provided by Coronis.  If any conflict exists between the Terms of Use you are currently reading and terms of use specific to additional Services, the provisions of the specific terms of use will control.  
  1. 1. Privacy Policy Applicable to Website
      Any information we collect through the Services is subject to our Privacy Policy. By using the Services, your consent to all actions taken by us with respect to your information in accordance with our Privacy Policy.  To access Services or part of Services, you may be asked to provide certain information or details. As part of your use of the Services, all information provided will be treated as being correct, current and complete. User agrees that all information provided to Coronis is governed by our Privacy Policy.  
      
      All information we may collect via our Services or this Website is subject to our Privacy Policy. By using our Services or Website, you consent to all actions taken by us with respect to your information in compliance with the above-linked Privacy Policy.  
    2. Disclaimer to Patients
      Coronis provides patient services on behalf of healthcare providers that may allow patients to communicate, coordinate, and manage their medical care with their healthcare provider. If and when you use these Services, your use is governed by our Patient-Facing Terms of Use, not by these Terms of Use.  
  1. 1. Intellectual Property Rights and Trademarks
      The Services and all functionalities are owned by Coronis, its licensors, or other third-party providers of such material and are protected by the United States and international copyright, trademark, patent, and other intellectual property laws.  These Terms of Use permit you to use the Services for your personal use only. You may not access or use the Services, any part of the Services, or any materials available through the Services for a commercial purpose, except with written permission from Coronis. You must not (i) reproduce, distribute, download, store, or transmit any of the material contained within our Services or (iii) delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services. Any use of the Services not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.  
      
      Any and all names, logos, and all related names, logos, products, services, software, or design are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company.  
    2. Linking to Other Applications
      From time to time, we will provide links to websites not owned or controlled by us. We do this because we think the information might be of interest or use to you. A link to a third-party website does not constitute or imply endorsement by us. We cannot guarantee the quality or accuracy of information presented on third-party websites. While we do our best to ensure your privacy, we cannot be responsible for the privacy practices of third-party websites. We encourage you to review the privacy practices of any website you visit.  
  1. 1. Use of Email and Other Communication Methods
      We may provide email links or correspondence to further facilitate communication between you and us. Information collected through email may be shared with our member services department, other associates, or third parties that perform services on our behalf. Unless otherwise noted, email through our website is not a completely secure and confidential means of communication. Non-encrypted email may be accessed and viewed by other Internet users without your knowledge and permission while in transit to us.
  1. 1. Liability, Warranties, and Limitations
      We, any licensors, and suppliers shall not be liable to any user, under any circumstances or under any theory of liability or indemnity, for any damages or penalties. This includes, but is not limited to, incidental indirect, exemplary punitive, and consequential damages, lost profits, or damages resulting from lost data or business interruption, in connection with the use or inability to use Services, even if we have been advised of the possibility of such damages.  
      We, any licensors, and suppliers are not responsible for any claims you may have against any medical professionals, suppliers of products, or other persons, institutions, or entities identified in whole or in part.  
      Coronis and any Services, content and information is provided at our sole discretion. Coronis disclaims all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to the implied warranties of merchantability, noninfringement of third parties’ rights, or fitness for a particular purpose.  
      We are not licensed to sell Services in all states. Services may not contain entire terms, conditions, limitations, and exclusions that may be applicable.  
  1. 1. Prohibited Uses
      You may only use the Services for lawful purposes and in accordance with these Terms of Use. You agree not to use the Services:  
      – In any way which violates any applicable federal, state, local, international law or regulation.  
      – For the purpose of harming or attempting to harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.  
      – To impersonate or attempt to impersonate Coronis, any Coronis employee, another user, or any other person or entity.  
      User also agrees not to use the Services:  
      – Use the Services in any manner that could disable, overburden damage or impair the site or interfere with any other party’s use of the Services, including their ability to engage in real time activities through the Services.  
      – Use any means, devices, viruses, or similar to access the Services for any malicious purpose, including monitoring or copying any of the material on the Services.  
      – Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Services.  
  1. 1. Indemnification
      You agree to defend, indemnify, and hold harmless Coronis, its affiliates, licensors and suppliers, and its respective officers, directors, employees contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards losses, costs, expenses or fees, including attorneys’ fee, arising out of or relating to your violation of these Terms of Use or your use of the Services, including, but not limited to, any use of the Services’ contents, services or products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Services.
  1. 1. Governing Law and Jurisdiction
      All matters relating to the Services and these Terms of Use and any dispute or claim arising or relate thereto shall be by and construed in accordance with the internal laws of the state of Michigan without giving effect to any choice or conflict of law provision or rule.
  1. 1. Limitation on Time to File Claims
      Any cause of action or claim you may have arising out of relating to these Terms of Use, the Services, or any content must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.  
  1. 1. Entire Agreement
      The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Coronis with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Services.
